Terms of Use

1.Agreement to these terms

These Terms of Use (the "Terms") are a binding agreement between you and TaskFieldAI ("TaskFieldAI," "we," "us," or "our"), operated from Hyderabad, Telangana, India, governing your access to and use of the TaskFieldAI website and web application and any related services (the "Services").

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. We may update these Terms from time to time; we will revise the "Last updated" date, and your continued use after a change means you accept it.

2.What the Services are

TaskFieldAI is a web application that, with your authorization, connects to your Google Workspace / Gmail (and optionally Google Calendar and other tools) and uses artificial intelligence to build a private memory of your professional relationships, monitor relationship health, detect agreement risk and manipulation in incoming messages, assist with scheduling, and prepare — and, at the level of autonomy you choose, send — email on your behalf. The Services depend on third-party platforms (such as Google) and on AI providers, and may change as the product evolves.

3.Eligibility

You must be at least 18 years old and capable of forming a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, in which case "you" refers to that organization.

4.Accounts and sign-in

You sign in using your Google account through Google OAuth; we do not offer email/password accounts. By signing in, you authorize us to receive your basic Google profile information (name, email address, profile picture) to create and manage your account. You are responsible for maintaining the security of your Google account and for all activity under your TaskFieldAI account. Notify us promptly of any unauthorized use.

5.Your accounts, your data, and your authorization

When you connect an account (such as Gmail or Calendar), you authorize us to access and process the data in it as needed to provide the Services, as described in our Privacy Policy. You retain ownership of your data; we claim no ownership of your email or the memory derived from it.

You agree to indemnify us for claims arising from your breach of this section, as set out in Indemnification.

6.Automation and autonomous actions

The Services can act on your behalf. Depending on the autonomy level you configure, TaskFieldAI may generate drafts and — only if you enable a higher level — send email, propose or create calendar events, and create tasks from your account.

• Draft-only by default. Autonomous sending is off until you turn it on. You choose the autonomy level, per category, and can change or revoke it at any time.
• Safety limits. We provide built-in protections — an undo window on autonomous sends, an automatic freeze on a thread when an agreement-risk flag is active, and respect for your configured working hours. These reduce, but do not eliminate, the risk of an unwanted action.
• You remain responsible. Communications sent from your account are attributed to you. You are responsible for your configuration and for reviewing the system's outputs. To the extent permitted by law, we are not liable for actions taken by the Services within the settings you configured.

7.AI-generated content

The Services use artificial intelligence (currently provided by OpenAI and Google) to generate drafts, briefs, summaries, risk assessments, and other outputs ("AI Content"). You acknowledge that:

• AI Content may be inaccurate, incomplete, or out of date. You are responsible for reviewing and verifying it before relying on or sending it.
• AI Content is not professional advice of any kind (including legal, financial, or tax advice).
• To produce AI Content, relevant content from your account is sent to our AI providers for processing. By using these features, you consent to that processing, which is described in our Privacy Policy.
• We do not guarantee the accuracy, completeness, or fitness for any purpose of any AI Content.

8.Acceptable use

You agree not to:

• Use the Services for any unlawful purpose, or to send unlawful, harassing, deceptive, or unsolicited bulk email (spam).
• Process data through the Services that you do not have the right to process.
• Circumvent, disable, or interfere with the Services' security or safety features — including the automation safety limits.
• Reverse-engineer, decompile, or attempt to extract source code, except to the extent the law permits.
• Scrape the Services, use them to build a competing product, or resell them without our written permission.
• Disrupt or place an undue burden on the Services or attempt to gain unauthorized access to any system or account.

We may suspend or terminate access for violations.

9.Subscriptions, billing, and trials

Parts of the Services are offered on a subscription basis. Payments are processed by Paddle, our Merchant of Record, which handles billing, invoicing, and applicable sales tax and VAT.

• Free. Certain features are available at no charge, subject to usage limits.
• Pro and Pro Plus. Paid plans unlock additional features and higher limits. Current pricing is shown at checkout and may change with notice.
• Renewal. Paid plans are billed in advance and renew automatically each period until cancelled.
• Free trial. We may offer a 7-day free trial. If you do not cancel before it ends, the subscription converts to a paid plan and your payment method is charged.
• Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.

Refunds are governed by our Return & Refund Policy.

10.Data processing for business customers

Where we process personal information on your behalf as a processor — for example, information about your contacts — a Data Processing Addendum (DPA) governs that processing. Business customers who require a signed DPA may request one at support@taskfieldai.com.

11.Intellectual property

We own the Services and all related software, design, and trademarks (the "Marks"). We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your own business or personal use, subject to these Terms. You may not copy, modify, distribute, or create derivative works from the Services or use our Marks without our written permission. We reserve all rights not expressly granted.

12.Feedback

If you send us suggestions or feedback, you grant us the right to use it without restriction or compensation to you. We do not claim ownership of your data or your content by virtue of your feedback.

13.Third-party services

The Services integrate with third-party platforms (such as Google, and any integrations you connect). Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability or changes may affect the Services.

14.Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI CONTENT OR RISK DETECTION WILL BE ACCURATE OR COMPLETE. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

15.Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16.Indemnification

You agree to indemnify and hold harmless TaskFieldAI and its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any law or of the rights of a third party, including your processing of information about others without the necessary rights or lawful basis; or (d) email or other communications sent from your account through the Services.

17.Term and termination

These Terms apply while you use the Services. You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if necessary to protect the Services or other users. On termination, the license granted to you ends; sections that by their nature should survive (including IP, disclaimers, liability, indemnification, and governing law) will survive.

18.Changes and availability

We may modify, suspend, or discontinue any part of the Services at any time. We aim for high availability but do not guarantee the Services will always be available, and we are not liable for any interruption, subject to applicable law and your paid-plan rights.

19.Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Before bringing any formal claim, the parties agree to attempt to resolve the dispute informally by contacting support@taskfieldai.com and negotiating in good faith for at least 30 days.

If the dispute is not resolved, you and we submit to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. Nothing in these Terms limits any mandatory consumer-protection rights you have under the laws of your country of residence.

20.Miscellaneous

These Terms, together with the Privacy Policy and any policies referenced here, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be given electronically. You consent to electronic communications, contracts, and signatures.
